Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Into23 Limited ("Into23", "we", "us", or "our"), a company incorporated in Hong Kong, governing your access to and use of our website, the Intone translation management platform, and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. If you are accessing or using the Services on behalf of a business or entity, you represent and warrant that you have the authority to bind that business or entity to these Terms.

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

2. Description of Services

Into23 provides AI-powered translation, localization, and AI data services for enterprise clients. Our Services include, but are not limited to: • AI Translation with Verification: Machine translation using multiple MT and LLM engines, with optional human verification by certified linguists • Traditional Localization: Human translation, localization, transcreation, and desktop publishing services • AI Data Services: LLM evaluation, RLHF annotation, AI red teaming and safety testing, transcription, and data annotation • Intone Platform: Cloud-based translation management portal providing access to multiple MT/LLM engines, project management, and quality reporting • Enterprise AI Ops: Managed annual programs for large-scale, multi-language translation and AI data operations

Service levels, pricing, deliverables, and specific terms for individual projects or ongoing engagements are governed by separate Statements of Work (SOW), Service Level Agreements (SLA), or Master Service Agreements (MSA) executed between you and Into23. In the event of any conflict between these Terms and a signed SOW, SLA, or MSA, the signed agreement shall prevail.

3. Account Registration and Access

Certain features of our Services, including the Intone platform, require you to register for an account. When you register, you agree to: • Provide accurate, current, and complete information during the registration process • Maintain and promptly update your account information • Maintain the security and confidentiality of your login credentials • Accept responsibility for all activities that occur under your account • Notify us immediately of any unauthorized use of your account or any other breach of security

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we reasonably believe that your account has been compromised.

4. Intellectual Property Rights

Client Content

You retain all ownership rights in the content you submit to Into23 for translation, localization, or processing ("Client Content"). By submitting Client Content, you grant Into23 a limited, non-exclusive license to process such content solely for the purpose of performing the requested Services.

Translation Memory

Translation Memory (TM) data generated during the course of providing Services is considered your property. You may request export of your TM data in standard TMX format at any time. Into23 retains a license to use TM data to provide Services to you, but will not share your TM data with third parties without your consent.

Into23 Property

The Services, including the Intone platform, all associated software, algorithms, interfaces, documentation, and branding, are and shall remain the exclusive property of Into23 and its licensors. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited right to use the Services in accordance with these Terms.

Feedback

If you provide any suggestions, ideas, enhancement requests, or other feedback regarding the Services ("Feedback"), you grant Into23 an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose.

5. Data Security and Confidentiality

Into23 takes the security of your data seriously. We implement industry-standard security measures including: • Encryption in transit (TLS 1.3) and at rest (AES-256) • AWS-hosted infrastructure with APAC data residency options • Need-to-know access controls with full audit logging • NDAs with all linguists and staff • Regular security assessments and penetration testing

Into23 holds ISO 9001 (Quality Management) and ISO 17100 (Translation Services) certifications. Our technology partner Custom.MT holds ISO 27001 certification, and Into23's own ISO 27001 certification is in progress.

Client Content submitted for translation or processing will not be used to train any AI models. We maintain explicit data processing agreements with all MT and LLM providers ensuring that client content is processed and discarded, never retained for training purposes. 6. Acceptable Use

You agree not to use the Services to: • Violate any applicable law, regulation, or third-party rights • Submit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable • Attempt to gain unauthorized access to any portion of the Services • Interfere with or disrupt the Services or servers or networks connected to the Services • Use any robot, spider, scraper, or other automated means to access the Services • Reverse engineer, decompile, or disassemble any portion of the Services • Remove, alter, or obscure any proprietary notices on the Services • Use the Services to develop a competing product or service • Resell, sublicense, or redistribute access to the Services without our prior written consent

7. Payment Terms

Payment terms for Services are as specified in your applicable SOW, SLA, or MSA. In the absence of a separate agreement: • All fees are quoted and payable in the currency specified in the applicable quote or invoice • Payment is due within 30 days of invoice date unless otherwise agreed in writing • Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less • You are responsible for all taxes, duties, and other governmental charges associated with your use of the Services, excluding taxes based on Into23's net income

Into23 reserves the right to suspend Services if payment is more than 30 days overdue after written notice.

8. Warranties and Disclaimers

Into23 warrants that Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards, including ISO 9001 and ISO 17100 requirements. For translation services with human verification (Tier 2 and above), Into23 warrants that deliverables will achieve a minimum LQA (Linguistic Quality Assurance) score of 95 on the MQM framework, unless otherwise specified in the applicable SOW.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Into23 does not warrant that AI-only translations (Tier 1) will be error-free. AI translation output is provided for informational purposes and should be reviewed by qualified personnel before use in regulated, legal, or safety-critical contexts.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTO23, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: • Your access to or use of or inability to access or use the Services • Any conduct or content of any third party on the Services • Any content obtained from the Services • Unauthorized access, use, or alteration of your transmissions or content

INTO23'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO INTO23 DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless Into23 and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: • Your use of and access to the Services • Your violation of any term of these Terms • Your violation of any third-party right, including without limitation any intellectual property right or privacy right • Any claim that your Client Content caused damage to a third party

This indemnification obligation will survive the termination of these Terms and your use of the Services.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination: • Your right to use the Services will immediately cease • You may request export of your Translation Memory data within 30 days of termination • Into23 will delete your Client Content in accordance with our data retention policy or any applicable agreement • Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.

13. General Provisions

Entire Agreement

These Terms, together with any applicable SOW, SLA, or MSA, constitute the entire agreement between you and Into23 regarding the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Into23's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Into23's prior written consent. Into23 may assign these Terms without restriction.

Force Majeure

Into23 shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.
